Agreement and eligibility
These Terms of Service form an agreement between Yokova, the operator of the Yokova service in Singapore, and the business or person accepting them ("you"). By requesting onboarding, creating or using an account, accessing the service, or allowing your staff to use it, you agree to these terms and the Privacy Policy.
You must be at least 18 years old and authorised to bind the business you represent. If you use Yokova for a business, that business is responsible for all authorised users and their use of the service. Any signed order, onboarding agreement, or written service arrangement forms part of this agreement and takes priority if it expressly conflicts with these terms.

The Yokova service
Yokova provides business software for pet-care operations, including customer and pet records, schedules, booking request intake, grooming and boarding workflows, price lists, packages, invoices, payment tracking, imports, exports, reminders, and reports. Available functions depend on the modules, role permissions, configuration, and subscription assigned to the business.
Yokova may provide assisted onboarding, data migration, setup, and training. We may improve, replace, or discontinue features over time. Where a change materially reduces a paid core function, we will provide reasonable notice where practicable.

Accounts and business responsibilities
You are responsible for:
- Providing accurate business and account information and keeping it current.
- Keeping login credentials secure and promptly removing access for former or unauthorised users.
- Assigning appropriate roles and reviewing what each staff member may access or change.
- Entering and reviewing accurate customer, pet, care, service, pricing, payment, and appointment information.
- Reviewing imported data, generated invoices, reports, routes, and calculations before relying on them.
- Maintaining suitable devices, internet access, operating procedures, and independent records required by your business or law.
Actions completed through an authorised account are treated as actions of the business. Tell Yokova promptly at care@yokova.pet if you suspect an account has been compromised.

Customer data, care records, and communications
You retain responsibility for the customer, pet, appointment, boarding, payment, media, and other records your business enters or collects through Yokova ("Business Data"). You must have all notices, permissions, consents, and other authority required to collect, use, disclose, import, store, and instruct Yokova to process Business Data.
You are responsible for customer follow-up, availability, suitability checks, deposits, cancellations, refunds, service disclaimers, animal care, medication instructions, emergency decisions, and compliance with laws that apply to your business. Yokova is an operational recordkeeping tool and does not replace professional judgement.
Where your business enables reminders or sends messages using Yokova, you are responsible for the lawful basis, content, recipient details, timing, opt-outs, and frequency of those communications. Do not include unnecessary sensitive or internal notes in customer-facing messages.

Trials, plans, and billing
Assisted trial
Approved businesses normally receive a 14-day onboarding trial, although a different period may be agreed. No card is collected and no subscription charge is made during the trial. When the trial expires, operational access may pause until a business administrator starts a paid subscription.
Plans and renewal
Yokova's current public price is S$39 per month for one workflow, Grooming or Boarding, and S$69 per month for both. The price, modules, currency, taxes, credits, and billing terms shown at checkout or in an agreed order govern your subscription. After the first successful Stripe checkout payment, the subscription renews automatically each month in advance until cancelled.
Changes, cancellation, and refunds
- Adding a module may create an immediate prorated charge. Access to the added module may remain pending until that charge is paid.
- Removing a module takes effect operationally when processed, does not delete existing module data, and lowers a future invoice without refunding the current billing period.
- To cancel, contact Yokova before the next renewal date. Cancellation normally takes effect at the end of the paid billing period unless otherwise agreed or required by law.
- Fees are non-refundable except where required by law or expressly agreed in writing. You remain responsible for charges incurred before cancellation.
- Approved promotional or feedback credits are subject to their stated conditions and may be applied to an eligible Stripe invoice.
If a recurring payment fails, Yokova may provide a seven-day grace period, then restrict paid modules until payment succeeds. Stripe processes payment details under its own terms. Yokova does not process customer payments made to your business; payment records inside Yokova are operational records entered by the business.

Acceptable use
You must not:
- Use Yokova unlawfully, deceptively, abusively, or in a way that infringes another person's rights.
- Access or attempt to access another business's data, accounts, systems, or non-public service areas.
- Upload malware, executable files, harmful content, or data you are not authorised to handle.
- Interfere with the service, bypass security or usage controls, probe for vulnerabilities without written permission, or overload public forms.
- Reverse engineer, copy, resell, sublicense, or use Yokova to build a competing service except where applicable law does not allow that restriction.
- Use generated records, reports, invoices, routes, or care information without appropriate human review.
We may investigate suspected misuse and remove content or restrict access where reasonably necessary to protect customers, businesses, Yokova, or the public.

Ownership, licence, feedback, and third parties
You retain ownership of Business Data. You grant Yokova a limited, non-exclusive licence to host, copy, process, transmit, and display Business Data only as needed to provide, secure, support, and improve the service and to meet legal obligations. Yokova may use aggregated or de-identified information that does not identify a business or individual.
Yokova and its licensors retain all rights in the service, software, design, documentation, trademarks, and other materials supplied by Yokova. If you submit suggestions or feedback, you allow Yokova to use them without restriction or payment. A separately offered feedback reward is governed by its stated conditions and does not change that permission.
The service may rely on or link to third-party services such as DigitalOcean, Mailgun, Stripe, Google Maps, or website builders. Their services are governed by their own terms, and Yokova is not responsible for third-party services outside our control.

Availability, suspension, and termination
We aim to keep Yokova reliable but do not guarantee uninterrupted or error-free availability. Maintenance, provider outages, internet failures, security events, or other circumstances may affect access. You should maintain reasonable continuity procedures for time-critical animal care and business operations.
Yokova may suspend or restrict access where reasonably necessary for non-payment, security, misuse, legal compliance, provider requirements, or protection of the service and its users. Where practical, we will give notice and an opportunity to resolve the issue.
Either party may terminate the service under an agreed order or by reasonable notice. Yokova may terminate immediately for a material breach that is not remedied, serious misuse, or where continued service would be unlawful. You should export required Business Data before termination. After termination, we may delete or anonymise data in accordance with the Privacy Policy and legal retention obligations.

Disclaimers and liability
To the extent permitted by law, Yokova is provided on an "as available" basis. Yokova does not provide veterinary, medical, legal, accounting, payroll, tax, employment, insurance, or payment-processing advice. Reports, commission estimates, route suggestions, reminders, care records, invoices, and generated documents depend on the information entered and must be reviewed by the business.
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data. Yokova's total liability arising from the service will not exceed the fees paid or payable by you for the service during the 12 months before the event giving rise to the claim.
These limitations do not exclude liability that cannot lawfully be excluded or limited. You will be responsible for claims, costs, and losses arising from your unlawful use of the service, your Business Data, or your breach of these terms, to the extent permitted by law.

General terms and contact
These terms, the Privacy Policy, and any agreed order are the entire agreement for the service. You may not transfer the agreement without Yokova's written consent. Yokova may transfer it as part of a reorganisation, financing, merger, acquisition, or sale of the service. A failure to enforce a term is not a waiver. If a term is unenforceable, the remaining terms stay in effect.
We may update these terms to reflect product, provider, legal, or commercial changes. Material changes will be communicated through the website, app, or business account contact where appropriate. Continued use after the effective date of updated terms constitutes acceptance.
These terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, unless applicable law requires otherwise.
